Denning Online – Terms and Conditions of Use (Free Trial)
Welcome to Denning Online. By signing up for our free trial, you (“you,” “your,” or “Partner”) agree to the following Terms and Conditions of Use. Denning Online Sdn Bhd (Company No. 202001038265) operates the trial platform as a service provider on behalf of Denning IT Sdn Bhd (Company No. 201101015299). If you do not agree, please do not use the trial service.
1. Eligibility
- You must be an authorized partner, sole proprietor, or an authorized law firm representative to register for the free trial.
- By registering, you confirm that all information provided is accurate and complete.
- Denning IT Sdn Bhd reserves the right to request supporting documentation to verify your eligibility.
- Denning IT Sdn Bhd may reject or revoke your eligibility at its sole discretion if any information is inaccurate, misleading, or unverifiable.
2. Free Trial
- The free trial provides temporary access to Denning Online features for a limited period, as specified at signup.
- Denning IT Sdn Bhd reserves the right to modify, suspend, or terminate the free trial at any time without prior notice.
- Features, functionality, and access may be limited compared to the full paid version.
- Trial access is non-transferable and may be used only by the individual or entity that registered.
- Denning IT Sdn Bhd does not guarantee that any data, settings, or configurations created during the trial will be retained or accessible after the trial ends.
- Continued use of Denning Online after the trial period requires a valid subscription.
3. Account Security
- You are responsible for maintaining the confidentiality of your account credentials.
- Any activity conducted through your account is your responsibility.
- Notify Denning IT Sdn Bhd immediately if you suspect unauthorized use of your account.
- Denning IT Sdn Bhd is not responsible for losses arising from compromised accounts, weak passwords, or unauthorized access due to user negligence.
- You may not share, sell, or transfer your login credentials to any third party.
4. Permitted Use
- The trial is provided solely for evaluation and personal assessment purposes.
- You may not copy, distribute, modify, reverse engineer, or otherwise exploit Denning Online beyond the scope of the trial.
- Use of Denning Online to operate business services or generate personal monetary gain is strictly prohibited.
- Any unauthorized or commercial use may result in immediate termination of access and potential legal action.
- You may not use Denning Online in any manner that could harm, disable, overburden, or impair the platform or its associated systems.
- You may not use Denning Online to upload harmful, illegal, or malicious content, including malware, unauthorized scripts, or data belonging to third parties without consent.
- You agree not to attempt to gain unauthorized access to Denning Online or its related networks, systems, or user accounts.
5. Data Protection
- By using Denning Online, you consent to Denning Online Sdn Bhd processing your personal data as a service provider on behalf of Denning IT Sdn Bhd, in accordance with our [Data Protection Policy].
- Denning IT Sdn Bhd implements reasonable technical and organizational measures to protect your data.
- Denning IT Sdn Bhd is not responsible for data loss arising from system failures, outages, or actions outside its control.
- You are responsible for ensuring that any data you upload does not violate privacy laws, intellectual property rights, or confidentiality obligations.
- Data processed during the trial may be deleted at the end of the trial unless you transition to a full subscription.
6. Intellectual Property
- All software, content, features, trademarks, service marks, trade names, designs, documentation, and other proprietary elements provided through Denning Online are the exclusive property of Denning IT Sdn Bhd.
- No rights, licenses, or ownership interests are transferred to you except for the limited right to access and evaluate Denning Online during the trial period.
- You may not copy, modify, distribute, reverse engineer, or create derivative works from any part of Denning Online.
- You may not remove or alter any copyright notices, branding, or proprietary markings displayed within the platform.
- Any unauthorized use of Denning Online or its intellectual property may result in immediate termination of access and may constitute a violation of applicable laws.
- You may not use Denning IT’s intellectual property—including logos, trademarks, or brand elements—without prior written permission.
7. Limitations of Liability
- Denning Online is provided “as is” for evaluation purposes.
- Denning IT Sdn Bhd is not liable for any indirect, incidental, or consequential damages arising from trial use.
- Denning IT Sdn Bhd does not guarantee uninterrupted access, error-free performance, or data accuracy during the trial.
- To the maximum extent permitted by law, Denning IT Sdn Bhd’s total liability arising from or related to the trial service shall not exceed RM0, as the trial is provided free of charge.
- You acknowledge that use of the trial is at your own risk.
8. Termination
- Denning IT Sdn Bhd may terminate your trial access at any time, with or without cause.
- Upon termination, your access to Denning Online will be immediately revoked.
- Your trial data will be retained for 14 days following termination and may be permanently deleted thereafter, without further notice.
- Denning IT Sdn Bhd may also suspend or restrict access if misuse, violation of these Terms, or suspicious activity is detected.
- Denning IT Sdn Bhd is not liable for any loss of data, content, or work product resulting from termination.
9. Governing Law
These Terms are governed by and construed under the laws of Malaysia. Any disputes arising shall be subject to the exclusive jurisdiction of Malaysian courts.
10. Amendments
Denning IT Sdn Bhd may update these Terms at any time. Continued use of the trial constitutes acceptance of any amended Terms. It is your responsibility to review the Terms periodically for updates. Denning IT Sdn Bhd may provide notification of major changes but is not obligated to do so.
